Power Protocol Airdrop Terms and Conditions
These Terms and Conditions ("Terms") govern your participation in the Power Protocol Airdrop Program ("Airdrop") operated by Power Protocol ("Company," "we," "us," or "our"). By participating in the Airdrop, you ("User" or "Participant") agree to be bound by these Terms.
1. Eligibility and Representations
By participating in this Airdrop, you represent and warrant that:
- Age: You are at least eighteen (18) years of age and have the full right, power, and authority to enter into these Terms.
- Excluded Jurisdictions: You are NOT a citizen, resident (tax or otherwise), or green card holder of, nor do you have a primary residence or domicile in: Canada, China, Japan, United Kingdom, United Arab Emirates, United States of America (including its territories and possessions), or the U.S. Virgin Islands. Afghanistan, Algeria, Angola, Balkans, Belarus, Bosnia and Herzegovina, Bulgaria, Burkina Faso, Burundi, Cameroon, Central African Republic, Côte d'Ivoire, Croatia, Cuba, Democratic Republic of the Congo, Democratic People's Republic of Korea (North Korea), Eritrea, Ethiopia, Guatemala, Guinea, Guinea-Bissau, Haiti, Hong Kong, Iran, Iraq, Kenya, Laos, Lebanon, Liberia, Libya, Mali, Moldova, Monaco, Montenegro, Mozambique, Myanmar, Namibia, Nepal, Nicaragua, Niger, Nigeria, Russia, Rwanda, Serbia, Sierra Leone, Somalia, South Africa, South Sudan, Sudan, Syria, Tanzania, Tunisia, Türkiye, Ukraine, Venezuela, Vietnam, Yemen, Zimbabwe.
- Prohibited Persons: You are not a "Prohibited Person." A Prohibited Person is defined as any individual or entity that appears on the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) Specially Designated Nationals and Blocked Persons List, or other similar sanctions lists in the EU, UK, or UN.
- Non-US Person: You specifically represent that you are not a "U.S. Person" as defined in Regulation S under the U.S. Securities Act of 1933.
2. Airdrop Mechanics
Nature of Reward: Eligible participants who successfully complete the required form and pass all compliance checks may receive a distribution of USDC.
No Guarantee: Completion of the form does not guarantee receipt of the Airdrop. The Company reserves the right to disqualify any participant at its sole discretion for any reason, including but not limited to suspicion of fraud, bot activity, or breach of these Terms.
Distribution: Rewards will be distributed to the wallet address provided. The Company is not responsible for loss of funds due to incorrect wallet addresses provided by the User. The Company reserves the right to return rewards to the treasury if not claimed within 90 days from distribution date.
3. No Investment Advice or Solicitation
Nothing in this Airdrop or these Terms constitutes an offer to sell or a solicitation of an offer to buy any security or financial instrument. The Airdrop is a promotional event. $POWER (if applicable) and the USDC rewards are provided "as is" without any express or implied warranties.
4. Anti-Money Laundering (AML) and KYC
We reserve the right to require identity verification (Know Your Customer - KYC) before distributing any rewards. Failure to provide requested documentation will result in forfeiture of the Airdrop. We strictly prohibit the use of our platform for money laundering, terrorist financing, or other illegal activities.
5. Limitation of Liability
To the maximum extent permitted by applicable law, Power Protocol, its affiliates, officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of (or inability to access or use) the Airdrop services;
- Any unauthorized access to or use of our servers and/or any personal information stored therein;
- Any bugs, viruses, or trojan horses transmitted to or through our services.
6. Taxes
You are solely responsible for determining what, if any, taxes apply to the Airdrop rewards you receive. Power Protocol is not responsible for withholding, collecting, reporting, or remitting any taxes arising from your participation.
7. Indemnification
You agree to defend, indemnify, and hold harmless Power Protocol from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your violation of any term of these Terms or your violation of any law of your jurisdiction.
8. Modification and Termination
We reserve the right to modify or terminate the Airdrop or these Terms at any time without prior notice.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of law provisions. Disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Cayman Islands.
